Terms & Conditions of Service

  1. Agreement & Scope

By engaging Design Theory Studio (“we,” “us,” “Service Provider”) for digital marketing services, or by accepting a quote, invoice, or engagement letter, you (“Client”) agree to these Terms. The specific scope—such as Google Ads, Social Media Marketing, Influencer Marketing, SEO, Website Design, or other services—shall be defined in the Engagement Letter or proposal specific to your campaign

  1. Term & Termination
  • The agreement begins on the Commencement Date and continues for the term specified in the Engagement Letter (“Initial Term”).
  • Jobs may automatically renew in Renewal Terms unless terminated in writing by either party, typically with 30 days’ notice
  1. Deliverables & Changes
  • All services and deliverables are limited to those described in the Engagement Letter. Additional work requires written approval and may incur a change‑of‑scope fee
  • Delivery dates are estimated and not guaranteed.
  1. Client Obligations
  • You must provide timely access, feedback, and required assets (e.g. campaign accounts, branding material, content, access credentials).
  • Failure to cooperate may delay delivery and is not the responsibility of Design Theory Studio
  1. Fees, Payment & Ad Spend
  • Fees for services are due as per the terms in the Engagement Letter or invoice. Payments are non‑refundable unless stated otherwise
  • Digital ad spend (e.g. Google, Facebook) is separate and borne by you. We may manage this spend on your behalf with your payment credentials Design Theory Studio.
  • You are also liable for any third‑party expenses approved by you.
  1. SEO & Performance Disclaimer
  • SEO outcomes are not guaranteed. Results depend on external factors such as search engine algorithm changes or activities by third parties
  1. Intellectual Property & Accreditation
  • IP rights in deliverables transfer to you upon full payment. Prior to this, all rights remain with us.
  • We reserve the right to include accreditation, copyright notices, or portfolio recognition where agreed
  1. Confidentiality & Access
  • You authorize us to access and use your accounts, content, or media assets to perform the service.
  • You affirm ownership or legal right to use all content you provide and agree to indemnify us for any infringement issues .
  1. Limitation of Liability
  • Our total liability is capped at the sums you have paid for applicable services.
  • We are not liable for indirect or consequential losses, loss of profit, or business interruptions, except where prohibited by applicable law .
  1. Indemnification

You agree to defend, indemnify, and hold harmless Design Theory Studio from claims arising from your content, breach of third-party rights, or misuse of deliverables .

  1. Termination Effects
  • On termination, any prepaid fees for services not yet rendered will be refunded.
  • Fees for completed work remain payable. Any accrued obligations survive termination .
  1. Governing Law & Updates
  • These Terms are governed by Indian law.
  • We reserve the right to amend or update these Terms at any time, and we will notify you accordingly.
